This End User License Agreement (“Agreement,” “EULA”) is a legal contract between you (“User,” “you,” or “your”) and Sun Ray LLC (“Company,” “we,” “us,” or “our”). This Agreement governs your access to and use of the Company’s website, mobile applications, software, and related services (“Services”). By accessing, installing, downloading, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, you must not use the Services.
This Agreement is provided strictly on an “as‑is” basis, without warranties of any kind. Nothing in this Agreement constitutes legal advice. Use of the Services is voluntary and at your own risk.
1. LICENSE GRANT
Subject to your compliance with this Agreement, the Company grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your personal, non‑commercial use. This license does not permit resale, distribution, modification, reverse engineering, or any unauthorized use of the Services. All rights not expressly granted to you are reserved by the Company.
2. RESTRICTIONS ON USE
You agree not to engage in any activity that interferes with or disrupts the Services. You may not copy, reproduce, modify, adapt, translate, decompile, disassemble, reverse engineer, or create derivative works based on the Services. You may not use the Services for any unlawful purpose, including but not limited to fraud, harassment, data scraping, unauthorized access, or violation of applicable laws or regulations. You may not attempt to circumvent any security measures or access any portion of the Services that you are not authorized to access.
3. ACCOUNT REGISTRATION AND SECURITY
To access certain features, you may be required to create an account. You agree to provide accurate and complete information and to maintain the confidentiality of your login credentials. You are solely responsible for all activities that occur under your account. The Company is not liable for any loss or damage arising from unauthorized access to your account. You agree to notify us immediately if you suspect any unauthorized use or security breach.
4. OWNERSHIP AND INTELLECTUAL PROPERTY
All content, trademarks, logos, software, data, and materials provided through the Services are owned by the Company or its licensors and are protected by intellectual property laws. You acknowledge that you acquire no ownership rights by using the Services. Any unauthorized use of the Company’s intellectual property is strictly prohibited.
5. USER‑GENERATED CONTENT
If you submit, upload, or transmit any content through the Services, you grant the Company a non‑exclusive, worldwide, royalty‑free license to use, reproduce, modify, distribute, and display such content solely for the purpose of operating and improving the Services. You represent and warrant that you have all necessary rights to submit such content and that your content does not violate any third‑party rights or applicable laws. The Company assumes no responsibility or liability for user‑generated content.
6. PRIVACY AND DATA COLLECTION
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy. The Company does not guarantee the security of any data transmitted through the Services and disclaims all liability for unauthorized access, breaches, or disclosures beyond our reasonable control.
7. UPDATES, MODIFICATIONS, AND AVAILABILITY
The Company may update, modify, or discontinue the Services at any time without notice. We may also update this Agreement periodically. Continued use of the Services after any modification constitutes acceptance of the updated Agreement. The Company does not guarantee uninterrupted or error‑free access to the Services and is not liable for any downtime, interruptions, or loss of data.
8. DISCLAIMER OF WARRANTIES
The Services are provided on an “as‑is,” “as‑available,” and “with all faults” basis. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non‑infringement, accuracy, reliability, or availability. The Company does not warrant that the Services will meet your requirements, operate without interruption, be free from errors, or be secure from unauthorized access.
You acknowledge that you use the Services at your own risk and that the Company is not responsible for any harm resulting from your use of the Services.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company, its officers, employees, agents, affiliates, and licensors shall not be liable for any damages of any kind, whether direct, indirect, incidental, consequential, special, exemplary, punitive, or otherwise, arising out of or related to your use of the Services. This includes, without limitation, damages for loss of profits, loss of data, business interruption, personal injury, property damage, or unauthorized access to your information.
The Company’s total liability for any claim arising out of or relating to this Agreement shall not exceed the amount you paid to the Company for the Services, if any. If you did not pay for the Services, the Company’s liability shall be zero.
You agree that these limitations apply even if the Company has been advised of the possibility of such damages and regardless of the legal theory asserted.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or related to your use of the Services, your violation of this Agreement, your violation of any applicable law, or your infringement of any third‑party rights.
11. TERMINATION
The Company may terminate or suspend your access to the Services at any time, with or without cause, and without notice. Upon termination, your license to use the Services will immediately cease. Sections of this Agreement that by their nature should survive termination shall continue in full force, including intellectual property rights, disclaimers, limitations of liability, and indemnification.
12. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict‑of‑law principles. Any dispute arising out of or relating to this Agreement or the Services shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the jurisdiction and venue of these courts.
13. SEVERABILITY
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be interpreted or replaced to best reflect the original intent of the parties while remaining enforceable.
14. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between you and the Company regarding the use of the Services and supersedes all prior agreements, understandings, or representations.
